Terms of Service

Effective September 29, 2026

§01

Agreement

These Terms of Service (“Terms”) are an agreement between you and Hemle (“Hemle,” “we,” “us”). They cover your use of the Hemle website, app and related services (the “Service”). You accept them when you create an account, tick the box or select “Agree and continue,” or otherwise use the Service. Our Privacy Policy explains how we handle your information and is part of these Terms.

Please read Section 19. It says that most disputes between you and Hemle will be resolved by individual arbitration, not in court, and that you and Hemle each give up the right to a jury trial and to take part in a class action. You can opt out within 30 days, as Section 19 explains.

§02

Who can use Hemle

To use Hemle:

  • you must be at least 18 years old;
  • you must live in the United States (including its territories). Hemle isn’t offered anywhere else, and you may not use a VPN or any other tool to hide where you are to get around this;
  • you must be able to enter a binding contract, and U.S. law, including sanctions law, must not bar you from using the Service; and
  • your account must be yours alone. Don’t share it, and don’t open more than one to get around limits.

If you don’t meet these requirements, don’t create an account. If we learn that an account doesn’t meet them, we may close it, and we refund any Pro time you’ve paid for and not used.

Educators. Teachers and tutors are welcome to use Hemle for their own study and to prepare their teaching. Hemle isn’t yet offered to schools, colleges or universities. Unless you have a separate written agreement with us, don’t upload students’ education records, grades, assignments or other personal information, and don’t require students to use Hemle. If your institution would like to use Hemle, contact us first at support@hemle.app.

§03

Your account

Keep your sign-in details secure. You’re responsible for what happens in your account. Give us accurate information and keep it up to date, and tell us at support@hemle.app right away if you think someone else has used your account. You can turn on two-factor authentication in Settings, and we recommend it. We aren’t responsible for losses from someone else using your account because you didn’t keep your sign-in details safe, unless we caused them.

§04

What Hemle does

Hemle is a study tool for individual learners. You upload your own study material, such as a textbook chapter, lecture slides or notes, and Hemle uses software and artificial intelligence (AI) to build a study path, flashcards, quizzes, explanations and review schedules from it (“Generated Materials”). Malet, Hemle’s tutor, teaches from your material in guided lessons, and Chat answers questions about a document. Both are AI systems, not people.

Hemle is for your own study. It isn’t designed to grade, rank, place, admit, certify or otherwise evaluate anyone for a school, employer or anyone else, and you may not use it that way.

We use service providers, including AI providers, to run the Service, as the Privacy Policy describes. We don’t sell your content, and we don’t use your documents, chats or study materials to train AI models.

§05

Your content

What you keep. You keep whatever rights you have in what you upload or submit, such as documents, notes, questions and answers (“Your Content”). We don’t claim ownership of it.

What you let us do. You give Hemle a worldwide, non-exclusive, royalty-free license to host, store, copy, convert, index, analyze, transmit and display Your Content, and to create Generated Materials from it, only to provide the Service to you, keep it secure and comply with the law. We may let our service providers use this license only to provide their services to us, under written terms that don’t allow them to use Your Content or Generated Materials to train or improve their own models. The license ends when Your Content is deleted, as described below.

What we don’t do. We don’t use Your Content or Generated Materials to train or fine-tune AI models, ours or anyone else’s. We don’t sell them, and we don’t show them to other users. We do use records of how you study, such as your answers, the time you take, how confident you said you were, and your progress, but not the text of your documents, to schedule your reviews, personalize Hemle for you and improve Hemle’s own study methods.

Your promises. When you upload Your Content, you promise that:

  • you own it, or you got it lawfully (for example, you bought it, your school gave it to you, or it’s openly licensed) and you may use it for your own study with a tool like Hemle;
  • you didn’t get it by breaking copy protection, or from a source you know or suspect is unauthorized, such as a pirate site or someone else’s paid copy;
  • you’ll respect any license that comes with it, for example a Creative Commons license with NonCommercial, ShareAlike or NoDerivatives terms, or an e-book license that limits copying or AI use;
  • it doesn’t include exam questions or answer keys you agreed to keep confidential, or instructor-only material you aren’t allowed to share; and
  • it doesn’t include other people’s personal information, health information, government ID numbers, payment card numbers, or anything you have a legal or professional duty to keep confidential, unless you have every right and consent needed.

Other people’s works. If Your Content includes works that belong to others, such as a textbook, the Generated Materials made from it may contain or closely follow those works. Use them only for your own study, and don’t publish, sell or share them without the rights holder’s permission. These Terms give you no rights in those works.

Deleting content. When you delete a document, we delete the file, its extracted text and search index, the study materials made from it, and your chats about it from our systems, and our AI providers delete their copies on their own schedules, described in the Privacy Policy. Copies can stay in our backups for the period the Privacy Policy states. We keep records of copyright notices and counter-notices.

Removal. We may remove or disable Your Content if we receive a valid copyright notice (Section 11), if we reasonably believe it breaks these Terms or the law, or if the law requires it. When we do, we tell you why, unless the law prevents us.

§06

AI tutors and AI-generated content

What Malet and Chat are. Malet and Chat are AI systems, not people. They run on models from other AI companies. They can be wrong, incomplete or out of date, even about your own material.

Check the source. Answers show the pages they draw on where they can. A page citation shows where the text sits in your file. It doesn’t prove that your file or the answer is right, so check anything important against your source or your instructor.

A study aid, not advice or a guarantee. Generated Materials are for your own study. They aren’t medical, legal, financial, tax, psychological or other professional advice, and you shouldn’t rely on them for clinical, legal, financial or safety decisions. We don’t promise any exam result, score, grade or pass rate, and practice questions may differ from real exams. Hemle isn’t affiliated with or endorsed by any exam provider.

Your progress figures are for you. Mastery, retention and readiness figures are study aids calculated from your answers. They aren’t grades or certificates, and they don’t predict an exam result.

Academic honesty. Follow your school’s, exam provider’s or employer’s rules on AI tools. Don’t use Hemle to do work you must do yourself, and don’t present AI output as your own where AI help isn’t allowed. Malet is built to teach and may decline to write graded work for you.

Safety. Malet and Chat aren’t crisis or emergency services, and no one watches conversations as they happen. If you or someone else may be in danger, call 911. You can call or text 988 to reach the Suicide & Crisis Lifeline at any time. If a message suggests you may hurt yourself, Hemle replies with crisis resources instead of continuing the lesson.

Tell us. Report wrong, unsafe or inappropriate answers to support@hemle.app.

§07

Acceptable use

You agree not to:

  • use the Service in a way that breaks the law or anyone’s rights;
  • upload or generate content that is illegal, infringing, sexually exploits anyone, or promotes violence, self-harm or hatred;
  • upload material that breaks your promises in Section 5;
  • try to make Malet or Chat role-play a romantic or sexual relationship, produce sexual content, claim to be a person or a licensed professional, or get around their safety features;
  • use the Service or Generated Materials to train a machine-learning model that competes with Hemle, or publish benchmark comparisons with a competing service for competitive purposes, without our permission. This doesn’t limit your right to write honest reviews;
  • copy, scrape or harvest the app, or anyone’s content in it, by automated means. Search engines may index our public pages as our robots.txt file allows;
  • reverse engineer the Service, except where the law allows it despite this restriction;
  • get around plan limits, rate limits, security features or access controls, or test the Service’s security without our written permission;
  • interfere with or overload the Service;
  • resell or sublicense the Service, share your account, or open accounts to get around limits or bans; or
  • impersonate anyone, or misstate your connection with anyone.
§08

Pro subscriptions, renewal and cancellation

The offer. Hemle Pro and Hemle Max are paid subscriptions, billed every week, month or year at the price shown before you check out. In these Terms, “Pro” means either one. Prices are in U.S. dollars. Where the law requires sales tax, it’s added and shown before you pay.

Automatic renewal. Pro renews automatically at the end of each billing period, for another period of the same length at the price then in effect, until you cancel. By subscribing, you authorize Hemle and our payment processor, Stripe, to charge your payment method at the start of each period. There’s no minimum term.

Cancelling. Cancel anytime online in Settings, under Plan. You don’t need to email or call us. Cancelling stops future renewals, and you keep Pro until the end of the period you’ve paid for; then your account moves to the free plan. Deleting your account also cancels your subscription, so you won’t be charged again.

Receipts and reminders. We email you a receipt, through Stripe, for every charge, with a link to manage or cancel your subscription. On the annual plan, we also email you a reminder between 15 and 45 days before it renews.

Price changes. If we change the price of your plan, we email you at least 7 and no more than 30 days before the new price applies, with how to cancel. The new price starts at your first renewal after that. If you don’t want to pay it, cancel before then.

Refunds. Payments aren’t refundable, except that:

  • if you forgot to cancel, email support@hemle.app within 7 days after a renewal charge. If you haven’t used Hemle since the renewal, we refund that charge;
  • if we close your account without cause (Section 15), or stop offering Pro, we refund the part of any prepaid period you haven’t used;
  • if you’re charged after deleting your account, we refund that charge; and
  • we give any refund the law requires.

Otherwise, cancelling doesn’t refund the current period.

Failed payments. If a payment fails, we may try again. If it can’t be collected, your account moves to the free plan.

Payment processor. Stripe processes payments. We don’t see or store your full card details. Stripe’s own terms and privacy policy also apply when you pay.

§09

The free plan and plan limits

The free plan has the limits shown in the app. Pro has higher limits, shown before you subscribe. Where we call a feature “unlimited,” there’s no fixed cap on it in normal use, but fair-use, security and technical limits still apply. We may change the free plan at any time. We won’t reduce what a paid plan includes during a period you’ve already paid for. If we reduce it for later periods, we tell you at least 30 days ahead, and you can cancel.

§10

Privacy

Our Privacy Policy explains what we collect, how we use it, who we share it with, and the choices you have.

§11

Copyright complaints

Hemle respects copyright and responds to notices that meet the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512). We don’t read or scan users’ libraries looking for infringing material.

Where to send a notice. Send copyright notices to Hemle’s Copyright Agent at support@hemle.app, with the subject “Copyright notice.”

What a notice must include:

  • the physical or electronic signature of the owner of an exclusive right that is allegedly infringed, or of a person authorized to act for that owner;
  • the copyrighted work, or a representative list of works, you say is infringed;
  • the material you say infringes, with enough information for us to find it. Hemle libraries are private and have no public web addresses, so include as much as you can: the account email, the file name and upload date, the work’s title, edition, ISBN and page range, or a copy of the file you found elsewhere (we can match identical files);
  • your name, postal address, telephone number and email address;
  • a statement that you believe in good faith that the use isn’t authorized by the copyright owner, its agent or the law; and
  • a statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the owner of the exclusive right.

What we do. When we receive a notice that meets these requirements, we promptly remove or disable the material, including the study materials made from it, tell the user and send them a copy of the notice. If a notice is incomplete, we ask for what’s missing.

Counter-notices. If you believe your material was removed by mistake or misidentification, send a counter-notice to the same address with: your physical or electronic signature; the material removed and where it was (file name and upload date); a statement, under penalty of perjury, that you believe in good faith it was removed by mistake or misidentification; and your name, address and telephone number, with a statement that you consent to the jurisdiction of the federal district court for your address and will accept service of process from the person who sent the notice. We forward it to that person and, unless they tell us within 10 business days that they’ve filed a court action, we restore the material no sooner than 10 and no later than 14 business days after we receive the counter-notice.

Repeat infringers. We close the accounts of repeat infringers. An account that receives three valid notices within 24 months, not withdrawn or successfully counter-noticed, is closed. We may close an account sooner for flagrant infringement.

Anyone who knowingly and materially misrepresents that material infringes, or was removed by mistake, may be liable for damages (17 U.S.C. § 512(f)).

§12

Hemle’s intellectual property

The Service, including its software, design and branding, belongs to Hemle or its licensors; this doesn’t include Your Content or Generated Materials. We give you a limited, personal, non-transferable license to use the Service under these Terms. “Hemle,” “Malet” and our logos are our trademarks. Exam names such as MCAT, USMLE, CFA, AP and SAT belong to their owners. We use them only to describe what someone is studying for, and their owners don’t sponsor or endorse Hemle.

Generated Materials. As between you and Hemle, we don’t claim ownership of Generated Materials, and we assign to you any rights we have in them, subject to the rights of others in the works they’re based on. Because AI made them, they may not be protected by copyright, and similar material may be generated for other people.

Open content. The Service shows some third-party material, such as the public-domain US government course our home page’s sample comes from. Material shown under its own license stays under that license, and third-party material is credited where it appears.

Feedback. If you send us ideas or feedback, we may use them freely, without paying you.

§13

Other services

Some features use other companies’ services, such as Stripe for payments and Google for sign-in. When you use those, their terms and privacy policies also apply. The Privacy Policy lists the providers that handle your information for us.

§14

Availability

We work to keep Hemle available and to fix problems, but we can’t promise that it will always be available or free of errors. We may change or remove features. Section 9 explains what we won’t change during a period you’ve paid for, and if we stop offering Pro we refund the part of your prepaid period you haven’t used.

§15

Suspending and closing accounts

You can close your account at any time in Settings, under Delete account. Your account closes right away; sign in within 30 days to reopen it. After that, we delete your data as the Privacy Policy describes.

We may suspend or close your account, or remove content, if you seriously or repeatedly break these Terms; if we reasonably suspect fraud, illegal activity or abuse; if your account puts the Service or others at risk; if you don’t meet the requirements in Section 2; if a payment can’t be collected; or if the law requires it. In any other case, we give you 30 days’ notice. We tell you the reason by email, unless the law prevents us or telling you would put others at risk, and you can reply to contest the decision. If we close your account without cause, we refund the part of any prepaid period you haven’t used.

Sections that by their nature should continue after an account closes, including Sections 5, 11, 12 and 16 to 20, continue.

§16

Disclaimers

TO THE FULLEST EXTENT THE LAW ALLOWS, THE SERVICE AND GENERATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” HEMLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DON’T PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT GENERATED MATERIALS WILL BE ACCURATE.

Some states don’t allow these exclusions, so some of them may not apply to you. They don’t limit the commitments we make elsewhere in these Terms.

§17

Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, HEMLE ISN’T LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR ACADEMIC OR PROFESSIONAL OUTCOMES, ARISING FROM THESE TERMS OR THE SERVICE. HEMLE’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID HEMLE IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR US $100.

What this doesn’t limit. Nothing in these Terms limits or excludes liability for death or bodily injury caused by our negligence, for fraud, for gross negligence or willful misconduct, or any other liability that can’t be limited under the law that applies to you. This section doesn’t reduce any refund we owe you under Section 8.

§18

Indemnity

If someone else brings a claim against Hemle because Your Content infringed their rights, or because you broke these Terms or the law, you’ll cover Hemle’s reasonable costs of that claim, including reasonable attorneys’ fees, and any amount a court awards against us or that we pay in a settlement you agree to. We’ll tell you about the claim promptly, and you may take part in the defense with a lawyer of your choice, at your own cost. This section doesn’t apply to claims caused by our own acts or failures.

§19

Resolving disputes: informal resolution, individual arbitration and class-action waiver

Please read this section carefully. It affects your rights.

Try to resolve it with us first. Before starting an arbitration or a court case, the person with the dispute sends the other a written notice with their name, the email address on their Hemle account (if any), a description of the dispute and what they want. Send yours to support@hemle.app with the subject “Dispute notice”; we send ours to your account email. We both try in good faith to resolve the dispute for 30 days, and the time limit for bringing the claim is paused during that period.

Agreement to arbitrate. You and Hemle agree to resolve any dispute, claim or controversy arising from or relating to these Terms or the Service (a “dispute”) by binding individual arbitration, except that:

  • either of us may bring an individual claim in small claims court, if it qualifies;
  • either of us may ask a court to stop the infringement or misuse of intellectual property; and
  • a claim for public injunctive relief, meaning relief that mainly benefits the general public, goes to court, which pauses it until any arbitration of individual claims is finished.

YOU AND HEMLE EACH GIVE UP THE RIGHT TO GO TO COURT, EXCEPT AS LISTED ABOVE, AND THE RIGHT TO A JURY TRIAL. An arbitrator, not a judge or jury, decides the dispute. Arbitration is more limited than a court case, and a court’s review of an arbitration award is limited.

Rules and costs. The American Arbitration Association (AAA) runs the arbitration under its Consumer Arbitration Rules, and its Mass Arbitration Supplementary Rules when they apply, as this section adjusts them. The rules are at adr.org. Your share of the filing fees won’t be more than the AAA Consumer Rules require of a consumer, and we pay the rest of the AAA’s and the arbitrator’s fees. Hearings happen by video or telephone, or in person in the county where you live if you ask. The arbitrator applies the same law a court would and may award you any individual relief a court could. The arbitrator decides whether a dispute must be arbitrated, except that a court decides questions about the class-action waiver below.

Class-action waiver. You and Hemle each bring claims only individually, not as a plaintiff or class member in any class, collective or representative proceeding. The arbitrator may not combine more than one person’s claims or preside over any class or representative proceeding. If a court decides that this waiver can’t be enforced for a claim, that claim, and only that claim, goes to court instead of arbitration.

Many similar claims. If 25 or more similar arbitration demands are filed against Hemle, or by Hemle, by the same or coordinated lawyers, the AAA’s Mass Arbitration Supplementary Rules apply.

Opting out. You can opt out of this arbitration agreement within 30 days after you first accept these Terms, or this version of them, by emailing support@hemle.app with the subject “Arbitration opt-out,” your name and your account email. Opting out doesn’t affect anything else in these Terms.

Changes to this section. If we change this section, you can reject the change by emailing us within 30 days of it. A change never applies to a dispute that either of us had already sent a notice about.

If you opt out, or a claim goes to court. The claim is heard in the state courts of the county where you live, or in the federal court for that district, unless we both agree otherwise.

§20

Governing law

The Federal Arbitration Act governs Section 19. Otherwise, the laws of the State of Delaware govern these Terms, without regard to conflict-of-law rules. If you live in a state whose consumer-protection laws give you rights that a contract can’t take away, those laws still protect you.

§21

Changes to these Terms

We may update these Terms. If a change is material, we tell you by email or in the app at least 30 days before it applies, unless it’s needed sooner for legal or security reasons, and we ask you to accept it. The date at the top of this page shows the current version. If you don’t accept a change, stop using Hemle and cancel your subscription, and we refund the part of any prepaid period you haven’t used. Changes to Section 19 work as that section says.

§22

General

Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and Hemle about the Service.

If part of these Terms is invalid. The rest still applies, except as Section 19 says about the class-action waiver.

No waiver. If we don’t enforce a term right away, we can still enforce it later.

Transfer. You may not transfer these Terms. We may transfer them to a company that takes over the Service, for example a company formed to operate Hemle, or as part of a merger or sale, and we’ll tell you.

Events beyond our control. We aren’t responsible for delays or failures caused by events beyond our reasonable control.

Notices. You agree to receive notices and records from us electronically, by email to your account address or in the app, and they count as “in writing.” You can ask us for a paper copy at support@hemle.app, and you can withdraw this consent by closing your account.

No third-party rights. No one else has rights under these Terms.

Sanctions and export. You must follow U.S. sanctions and export laws when you use the Service.

§23

Contact

Questions about these Terms? Email support@hemle.app. Copyright notices go to the address in Section 11, and privacy questions are covered in the Privacy Policy.

California users. Under California Civil Code § 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210.
